1.Chapter I: General Provisions and Definitions
Article (1) Scope
These Terms and Conditions ("Agreement") apply to all users of the ZynDesk platform ("the Platform") owned by Zyntra Digital ("the Company"), and govern the relationship between the Company and each natural or legal person ("the User") who accesses or uses the Platform in any manner. By using the Platform you confirm that you have read, understood, and agreed to be bound by this Agreement.
Article (2) Definitions
For the purposes of this Agreement, the following terms have the meanings set out opposite each:
- "The Platform": the ZynDesk web application and its associated APIs, including all services, features, and updates.
- "The User": any natural or legal person who registers an account or accesses the Platform as an authorized user.
- "Data": all information entered into the Platform by the User or generated as a result of their use of it.
- "Plan": the subscription package selected by the User in accordance with the published pricing schedule.
- "Content": texts, images, documents, and any other materials uploaded to or created through the Platform by the User.
2.Chapter II: Description of Services
Article (3) Nature of the Service
The Company provides ZynDesk as a Software as a Service (SaaS) platform designed for accounting and tax offices in Egypt and the Gulf states. Core services include: client relationship management (CRM), tax deadline tracking, attendance and leave management, electronic archiving, and other services that may be added in the future.
Article (4) Registration and Account
The User undertakes to provide accurate, complete, and truthful information when creating an account, and to keep their password and login credentials confidential. The User bears full responsibility for all activities that occur under their account. Any security breach or unauthorized use of the account must be reported immediately.
Article (5) Service Level
The Company endeavors to provide the Platform at an uptime percentage of no less than 99.5% per month, excluding Scheduled Maintenance windows. Scheduled maintenance is announced in advance via email or the service status dashboard. The Company bears no liability for outages caused by factors outside its control, such as internet disruption or Force Majeure.
3.Chapter III: User Obligations
Article (6) Lawful Use
The User undertakes to use the Platform for lawful purposes in accordance with the laws applicable in the Arab Republic of Egypt and the laws of the country in which they are based. Please refer to the Acceptable Use Policy for a detailed list of prohibited uses.
Article (7) Data and Content
The User warrants that they hold all rights necessary in respect of the data and content they upload or enter into the Platform. The User grants the Company a limited, non-exclusive license to process such data solely for the purpose of delivering the service. The Company will not use User data for marketing purposes or for the benefit of third parties without explicit consent.
4.Chapter IV: Intellectual Property
Article (8) Company Rights
Zyntra Digital retains all intellectual property rights relating to the Platform, including source code, design, trademarks, logos, databases, and all Platform materials. This Agreement shall not be construed as transferring any such rights to the User; the User is granted a limited, revocable license to use the Platform only.
Article (9) Ownership of User Data
The User retains full ownership of the data they enter into the Platform. Upon termination of the subscription, the User may export their data within 30 days. The Company undertakes to permanently delete User data within 90 days of subscription termination unless applicable law requires it to be retained.
5.Chapter V: Pricing and Billing
Article (10) Subscription and Payment
The service is provided in accordance with the plans published on the pricing page. Subscriptions renew automatically upon expiry unless cancelled by the User at least 72 hours before the renewal date. The monthly subscription fee is payable at the start of each Billing Cycle.
Article (11) Price Changes
The Company reserves the right to amend subscription prices with 30 days' notice to Users. The User may terminate their subscription before the new prices take effect without any penalty. Pre-paid annual subscriptions are not repriced during their term.
Article (12) Refund Policy
The free trial period is 14 days with no financial commitment. After the trial period expires and the paid subscription commences, amounts paid for elapsed periods are non-refundable. In exceptional cases at the Company's discretion, a partial refund may be issued.
6.Chapter VI: Limitation of Liability
Article (13) Disclaimer
The Platform is provided "as is" without warranties of any kind. The Company does not warrant that the Platform is fit for any particular purpose or entirely free of errors, although it uses its best efforts in continuous maintenance and development.
Article (14) Liability Cap
The Company's total liability to the User shall not in any event exceed the subscription amount paid by the User during the three months preceding the alleged incident. The Company bears no liability for indirect, consequential, incidental damages, or loss of profits.
7.Chapter VII: Termination
Article (15) Termination by the User
The User may terminate their subscription at any time through the dashboard. The account remains active until the end of the current Billing Cycle. After termination, User data remains available for export for 30 days, then is permanently deleted.
Article (16) Termination by the Company
The Company may terminate or suspend any account that breaches this Agreement or the Acceptable Use Policy, with notice to the User. In cases of material breach, the Company may terminate the account immediately without prior notice. Where the Company terminates without cause, the unconsumed portion of the subscription fee shall be refunded.
8.Chapter VIII: Final Provisions
Article (17) Governing Law
This Agreement is governed by the laws of the Arab Republic of Egypt. Any dispute arising from it shall be subject to the exclusive jurisdiction of the competent courts in Cairo, after exhausting amicable settlement procedures within 30 days of notice of the dispute.
Article (18) Amendments
The Company reserves the right to amend this Agreement at any time. Users are notified of material changes via email and an in-platform notice at least 30 days before they take effect. Continued use of the Platform after the effective date of any amendment constitutes implicit acceptance.
Article (19) Miscellaneous
If any provision of this Agreement is found to be invalid, the remaining provisions shall continue in full force and effect. This Agreement, together with the Privacy Policy, the Acceptable Use Policy, and the Data Processing Agreement, constitutes the entire agreement between the parties. Contact: info@zyndesk.app
