1.Chapter I: General Intellectual Property
Article (1) Scope of Protection
Zyntra Digital retains all intellectual property rights relating to the ZynDesk Platform, including expressly — in addition to what is set out in the Terms and Conditions —: source code; algorithms and models of the AI Module; databases and their structure; design and user experience (UI/UX); technical and user documentation; and application programming interfaces (APIs) and their structured outputs.
Article (2) No Transfer
Use of the Platform or any of its legal documents shall not be construed as a transfer of any intellectual property right to the User, except for the limited revocable license set out in the Terms and Conditions.
Article (2 bis) Feedback and Usage Metrics
The User hereby grants the Company a perpetual, worldwide, irrevocable, royalty-free license to use, exploit, and modify: any feedback, suggestions, or feature requests (Feedback / Suggestions / Feature Requests) voluntarily submitted by the User to the Company; and analytics data, usage metrics, and activity logs (Analytics / Usage Metrics / Logs) automatically generated by the Platform as a result of the User's use thereof, in aggregated or pseudonymized form that is not directly linked to an identifiable identity wherever reasonably practicable, for the purpose of developing the Platform and improving its current and future services and products. The grant of this license does not entail any transfer of ownership of such inputs, nor any right of the User in any development, feature, or product that the Company produces in reliance on them. Expressly excluded from the scope of this license are accounting firm client data, their financial and tax records, and all other "User Data" whose full ownership is retained by the User pursuant to the Terms and Conditions, which shall not be used under this Article in any circumstances.
2.Chapter II: Trademarks
Article (3) Company-Owned Marks
The names and logos "Zyntra Digital" and "ZynDesk" and any associated marks and sub-logos are trademarks owned by Zyntra Digital. They may not be used, nor may any confusingly similar mark be used, without prior written permission from the Company.
Article (4) Usage Guidelines for Partners
Authorized Partners may use the ZynDesk logo solely in accordance with the official brand identity guidelines provided by the Company, and solely for the purpose of promoting the Platform, without modifying the logo or incorporating it into another trademark without written consent.
3.Chapter III: API Terms of Use (Elite Plan Subscribers Only)
Article (5) Limited License to Use the API
Elite Plan subscribers are granted a limited, non-exclusive, non-transferable license to use the ZynDesk application programming interface solely for the purpose of integrating their own firm's data with internal systems or approved integration tools.
Article (6) Prohibited API Uses

Exceeding the Rate Limits published in the API documentation.

Reselling or providing third-party access to the API without written consent.

Attempting to extract data belonging to other users.

Using the API to build a product or service that competes with the Platform, consistent with the Acceptable Use Policy.
Article (6 bis) Immediate Suspension, Restriction, or Termination
Notwithstanding Article (7) with respect to advance notice, the Company may immediately and without prior notice suspend, restrict, or terminate any user's access to the API in cases of: actual or reasonably suspected misuse in good faith; repeated or material breach of Rate Limits; the existence of indications of an imminent security risk to the Platform or other users' data; or any attempt to damage the Platform or its infrastructure or to affect its availability to other users. This action shall be without prejudice to any other rights of the Company under the Terms and Conditions or the Acceptable Use Policy. The Company undertakes to notify the affected User of the suspension and its brief reason as soon as reasonably practicable after taking the action, and to provide a reasonable pathway for reinstatement of access once the cause has ceased, unless doing so would constitute a continuing risk to the Platform or its users.
Article (7) Amendments and Deprecation
The Company reserves the right to amend API versions or deprecate a prior version, provided that Users subscribed to the API are given at least 60 days' advance notice of any material change or deprecation before it takes effect, to allow sufficient time for adaptation. This is without prejudice to the right of immediate suspension set out in Article (6 bis) in the cases specified therein.
4.Chapter IV: Intellectual Property Infringement Reporting
Article (8) Reporting Channel
For any allegation of intellectual property infringement either by the Platform or through it, please contact legal@zyndesk.app with a detailed statement of the right alleged to have been infringed and its location on the Platform.
